Service Provider Agreement

Important Notice

This Service Provider Agreement ("Agreement") is a binding legal agreement between you or the entity you represent ("you" or "Service Provider") and YachtCare.io FZ-LLC ("YachtCare.io", "we", "us", or "our"). This Agreement governs your use of the YachtCare.io platform to offer and provide marine services to Yacht Owners.

1.Relationship of the Parties

Independent Contractor. You are an independent contractor. Nothing in this Agreement creates any partnership, joint venture, employment, or agency relationship between you and YachtCare.io. You are not an employee or agent of YachtCare.io. You are responsible for your own business expenses, taxes, and insurance.

2.Your Obligations

As a Service Provider on the YachtCare.io platform, you agree to:

  • Maintain a Valid License: You must hold a valid trade license issued by the relevant UAE authority that permits you to perform the services you offer on the Platform.
  • Provide Accurate Information: All information you provide to YachtCare.io and to Yacht Owners must be accurate, current, and complete.
  • Perform Services Professionally: You must perform all services in a professional, workmanlike manner, in accordance with industry best practices and all applicable laws and regulations.
  • Maintain Insurance: You must maintain adequate insurance coverage for your business, including public liability insurance.
  • Comply with Platform Rules: You must comply with all YachtCare.io policies, including the Terms of Service and Acceptable Use Policy.
  • Respond to service requests in a timely manner.
  • Maintain all necessary licenses and insurance.

3.Service Fees and Payments

Platform Fee

YachtCare.io will charge a platform fee for each completed service booked through the Platform. The current platform fee is 9% of the total service fee.

Rescheduling

Either party to a booking (the Yacht Owner or the Service Provider) may request to reschedule or relocate a confirmed service. Any such change shall only take effect upon the mutual written agreement of both parties through the Platform. If the parties cannot agree on a new date or arrangement, the original booking terms shall remain in effect, or either party may cancel in accordance with the applicable cancellation terms.

Payouts

Payouts for completed services (less the platform fee) will be transferred to your designated bank account within 7–10 business days after the Yacht Owner has confirmed the completion of the service.

Taxes

You are solely responsible for determining and remitting all applicable taxes on the income you earn through the Platform.

4.No Exclusivity

This Agreement is not exclusive. You are free to offer your services through other platforms or directly to clients. Similarly, YachtCare.io is free to contract with other Service Providers.

5.Confidentiality

You may receive confidential information from Yacht Owners or from YachtCare.io. You agree to keep this information confidential and not to disclose it to any third party, except as necessary to perform your services.

6.Term and Termination

This Agreement will commence on the date you are approved as a Service Provider and will continue until terminated by either party.

Termination for Convenience

Either party may terminate this Agreement for any reason with 30 days written notice.

Termination for Cause

YachtCare.io may terminate this Agreement immediately and without notice if you breach any material term of this Agreement, engage in fraudulent activity, or receive consistently poor ratings from Yacht Owners.

7.Disclaimer and Limitation of Liability

YachtCare.io provides the Platform to connect you with potential clients. We do not guarantee that you will receive any minimum number of service requests. Our liability to you is limited as set forth in our Terms of Service.

8.Governing Law and Dispute Resolution

8.1 Governing Law

This Agreement shall be governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai.

8.2 Dispute Resolution

You agree that any and all disputes arising between you and a Yacht Owner shall first be addressed through the two-step process outlined in our Dispute Resolution Policy, consisting of (1) Direct Resolution between the parties and (2) a decision by the YachtCare.io Support Team. You agree to participate in good faith in both steps.

8.3 Right to Legal Action

Nothing in this Agreement or the Dispute Resolution Policy shall limit, waive, or replace the legal rights of any party under the laws of the United Arab Emirates. Both you and the Yacht Owner retain the full and unrestricted right to pursue legal action through the competent courts of the United Arab Emirates at any time, including before, during, or after the internal dispute resolution process. YachtCare.io does not facilitate, administer, or participate in any legal proceedings between you and a Yacht Owner.

By accepting this Agreement, you acknowledge that you have read, understood, and agree to be bound by its terms.
