1.Introduction
Welcome to YachtCare.io. These Terms of Service ("Terms") govern your access to and use of the YachtCare.io website, mobile applications, and services (collectively, the "Platform"), operated by YachtCare.io FZ-LLC ("YachtCare.io", "we", "us", or "our").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.
Important Notice
Please read these Terms carefully. They affect your legal rights and obligations when using the YachtCare.io platform.
2.The YachtCare.io Platform
YachtCare.io is a neutral online marketplace that connects individuals and companies seeking marine maintenance and related services ("Yacht Owners") with independent third-party service providers ("Service Providers").
YachtCare.io is not a direct provider of marine services. We act solely as an intermediary to facilitate the connection between Yacht Owners and Service Providers. Any services are provided by the Service Providers, not by YachtCare.io. We are not a party to the service agreement between the Yacht Owner and the Service Provider.
3.Eligibility and Account Registration
To access and use the Platform, you must be at least 18 years old and have the legal capacity to enter into binding contracts. You must register for an account ("Account") and provide accurate, current, and complete information during the registration process.
You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account.
4.Service Bookings and Financial Terms
For Yacht Owners:
- •You can book services from Service Providers through the Platform.
- •When you book a service, you agree to pay the total fees indicated, which include the service fee, any applicable taxes, and the YachtCare.io platform fee.
- •All payments are processed through our third-party payment processor (Stripe, Inc.). By providing your payment information, you authorize us and our payment processor to charge the applicable fees.
For Service Providers:
- •You will receive payment for your services, less the applicable YachtCare.io platform fee, after the service has been completed and confirmed by the Yacht Owner.
- •Payouts will be made to your designated bank account, as managed through our payment processor.
Secure Payment and Payment Protection:
- •YachtCare.io utilizes an secure payment system for all transactions. When a Yacht Owner books a service, the payment is held in secure payment by our payment processor.
- •Funds are released to the Service Provider only after the Yacht Owner confirms that the service has been completed to their satisfaction.
- •In case of a dispute, funds will be held until the dispute is resolved in accordance with our Dispute Resolution Policy.
5.User Conduct and Acceptable Use
You agree not to use the Platform to:
- •Violate any applicable laws or regulations of the United Arab Emirates.
- •Post any false, misleading, or inaccurate information.
- •Infringe upon the rights of any third party, including intellectual property rights and privacy rights.
- •Engage in any fraudulent activity, including but not limited to, payment fraud.
- •Circumvent the Platform by arranging for services and payments outside of the Platform after being connected through it.
We reserve the right to suspend or terminate your Account for any violation of these Terms or our Acceptable Use Policy.
6.Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. YACHTCARE.IO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YACHTCARE.IO MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY SERVICES PROVIDED BY SERVICE PROVIDERS. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE PLATFORM.
7.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YACHTCARE.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR (c) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL YACHTCARE.IO'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR (B) THE AMOUNT OF PLATFORM FEES YOU PAID TO YACHTCARE.IO IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
8.Indemnification
You agree to release, defend, indemnify, and hold YachtCare.io and its affiliates and their officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your breach of these Terms, (b) your improper use of the Platform, or (c) your interaction with any other user.
9.Dispute Resolution
All disputes between Users (Yacht Owners and Service Providers) in connection with the services shall first be addressed through the two-step process outlined in our Dispute Resolution Policy, consisting of (1) Direct Resolution between the parties and (2) a decision by the YachtCare.io Support Team.
Nothing in these Terms shall limit, waive, or replace the legal rights of any party under the laws of the United Arab Emirates. All parties retain the full and unrestricted right to pursue legal action through the competent courts of the United Arab Emirates at any time.
10.Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai. Any legal proceedings shall be brought in the competent courts of Dubai, UAE.
11.Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
